These Terms of Service ("Terms") govern your access to and use of pgpulse.io (the "Service"), operated by Telos Technologies LLP ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. You may use the Service as an individual or on behalf of a business or organization. By using the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
2. Account Registration and Responsibility
You are responsible for maintaining the confidentiality of your account credentials, including any API keys, access tokens, or database connection credentials, and for all activities that occur under your account. You agree to provide accurate and complete information and to keep your account information up to date. You must notify us immediately of any unauthorized access or security breach.
3. Free Trial
We may offer a 14-day free trial. During the trial, access may be limited or modified at our discretion. We reserve the right to change, discontinue, or limit eligibility for the free trial at any time. Free trials are limited to one per customer or organization.
4. Subscriptions, Pricing, Payments, and Billing
Paid plans are billed on a recurring monthly basis and will automatically renew unless canceled before the renewal date. Pricing is charged per Supabase project / database instance and may vary by plan, usage, promotions, or offers. As of launch, our standard pricing is USD $19/month per project/instance, with an early launch promotional offer of USD $15/month per project/instance.
Promotional Pricing: Early launch pricing of USD $15/month is a limited-time promotional offer. Customers who subscribe during the promotional period will retain this pricing for a minimum of 12 months from their subscription date. After this period, pricing may adjust to the then-current standard rate with at least 30 days' advance notice.
Price Changes: We may change pricing from time to time. For existing subscribers, price changes will apply prospectively with at least 30 days' advance notice via email. Continued use of the Service after the notice period constitutes acceptance of the new pricing.
Payment Processing: Payments are processed through third-party payment processors (such as Razorpay, Stripe, or other providers). We do not store full payment card details. You authorize us to charge your payment method on a recurring basis.
Currency: All prices are stated in USD. If you pay in a different currency, exchange rates and conversion fees applied by your payment provider or financial institution are your responsibility.
Taxes: All fees are exclusive of applicable taxes (including GST, VAT, sales tax, or other taxes). You are responsible for paying all applicable taxes associated with your use of the Service.
Failed Payments: If a payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful after 7 days, we may suspend or terminate your access to the Service.
5. Cancellation and Subscription Management
You may cancel your subscription at any time through your account dashboard or by contacting support@pgpulse.io. Cancellations take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.
Upon cancellation, your subscription will not renew, and you will not be charged for subsequent billing periods. No refunds or credits will be provided for partial months or unused time.
6. No Refund Policy
All fees are non-refundable, including fees for unused time, partial periods, downgrades, cancellations, or dissatisfaction with the Service. You are responsible for reviewing pricing, plan details, and Service features before subscribing. We do not provide refunds for chargebacks or payment disputes; such actions may result in immediate account termination.
7. Database Access and Monitoring Scope
To provide the Service, you grant us limited, read-only access to your Supabase database metrics and monitoring data via API connections or database credentials you provide. We access only the data necessary to deliver monitoring, visualization, and alerting features.
What We Access: Database performance metrics, query statistics, connection data, resource utilization, and related monitoring data as exposed by Supabase APIs or your database.
What We Do Not Access: We do not access, read, modify, or store your application data, user records, or business data stored in your database tables unless explicitly required for a specific feature you enable.
Your Responsibility: You are responsible for ensuring that credentials provided to us have appropriate, limited permissions (read-only where possible). You are responsible for the security and integrity of your own database and applications.
Security Measures: We implement industry-standard security measures to protect credentials and data, including encryption in transit and at rest. However, we cannot guarantee absolute security. See our Privacy Policy for more details.
8. Acceptable Use
You agree not to:
- Use the Service for unlawful, abusive, fraudulent, or malicious purposes
- Attempt to interfere with, disrupt, or compromise the security of the Service
- Reverse engineer, decompile, disassemble, scrape, or exploit the Service or its underlying technology
- Use the Service in a way that violates applicable laws, regulations, or third-party rights
- Share, resell, or sublicense access to the Service without our prior written consent
- Use the Service to monitor databases or systems you do not own or have authorization to monitor
- Exceed reasonable API rate limits or usage quotas
We reserve the right to investigate and take appropriate action for violations, including suspension or termination of your account.
9. Intellectual Property
The Service, including all software, designs, text, graphics, logos, algorithms, and proprietary technology, is owned by Telos Technologies LLP and protected by intellectual property laws. You retain ownership of your own data. You grant us a limited, non-exclusive, royalty-free license to use your data solely to provide and operate the Service and to generate anonymized, aggregated analytics.
10. Third-Party Services and Data Sources
The Service relies on third-party services (including hosting providers, payment processors, analytics platforms, email delivery services, and Supabase). We are not responsible for the acts, omissions, availability, or performance of third-party providers. The Service relies on metrics and data made available by third-party platforms, including Supabase. We do not guarantee the accuracy, completeness, timeliness, or availability of such data.
11. Informational Use Only (Metrics, Visualizations, Alerts)
The Service provides database performance metrics, visualizations, alerts, and recommendations for informational purposes only. The Service does not provide financial, operational, legal, or business advice. You are solely responsible for how you interpret and act on information provided through the Service, including any alerts, notifications, or recommendations. We are not liable for any decisions, actions, or omissions you make based on information from the Service.
12. Service Availability and Performance
No SLA Guarantee: We do not guarantee any specific uptime, availability, or performance level for the Service. The Service is provided on a best-effort basis. We may experience downtime, interruptions, or degraded performance due to maintenance, updates, third-party service issues, or other factors.
Maintenance: We may perform scheduled or emergency maintenance that may temporarily interrupt access to the Service. We will attempt to provide advance notice for scheduled maintenance when reasonably possible.
Beta Features: The Service may include features labeled as "beta", "alpha", "preview", or "experimental". These features are provided as-is with no warranties and may be changed or discontinued at any time.
13. Data Security, Breaches, and Incident Response
We implement commercially reasonable security measures to protect your data and credentials. However, no system is completely secure. You acknowledge that use of the Service involves inherent security risks.
Security Incidents: In the event of a security breach or unauthorized access affecting your data, we will notify you in accordance with applicable laws, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (DPDP Act). Our liability for security incidents is subject to the limitations set forth in Section 15 (Limitation of Liability).
Your Responsibility: You are responsible for implementing appropriate security measures for your own systems, databases, and applications. We are not liable for breaches or incidents originating from your systems or resulting from your failure to secure credentials.
14. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or availability. We do not guarantee that the Service will be uninterrupted, error-free, secure, timely, accurate, or meet your specific requirements.
15. Limitation of Liability
To the maximum extent permitted by law:
Liability Cap: Our total aggregate liability for any and all claims arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees actually paid by you to us in the six (6) months immediately preceding the event giving rise to the claim.
Free Users: If you have not paid any fees (e.g., free trial users), our total liability shall be zero (USD $0).
Exclusion of Consequential Damages: We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or costs of substitute services, even if we have been advised of the possibility of such damages.
Specific Exclusions: We shall not be liable for:
- Any decisions, actions, or omissions taken by you based on information, alerts, or recommendations provided through the Service
- Data loss, corruption, or unavailability caused by third-party services, including Supabase
- Security breaches, unauthorized access, or incidents resulting from your failure to secure credentials or systems
- Downtime, interruptions, or performance issues of the Service or third-party services
- Inaccuracies, errors, or omissions in metrics, visualizations, or alerts provided by the Service
Exceptions: This limitation does not apply to liability for fraud, willful misconduct, gross negligence, or violations of law where such limitations are prohibited.
16. Indemnification
You agree to indemnify, defend, and hold harmless Telos Technologies LLP, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws or third-party rights; or (d) your data, databases, or systems.
17. Data Retention and Deletion
Active Accounts: While your account is active, we retain your data as necessary to provide the Service.
After Cancellation: Upon cancellation or termination of your subscription, we will retain your data for up to 30 days to allow for account reactivation or data export. After 30 days, we will delete or anonymize your data, except as required by law or for legitimate business purposes (e.g., fraud prevention, compliance).
Data Export: You may request an export of your data at any time through your account dashboard or by contacting support. We are not responsible for data loss if you fail to export your data before the retention period expires.
Backups: Deleted data may persist in backups for up to 90 days, after which backups are permanently deleted.
18. Suspension and Termination
Suspension or Termination by Us (With Cause): We may suspend or terminate your access to the Service immediately, with or without notice, for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment or failed payment after the grace period
- Suspected fraudulent, abusive, or illegal activity
- To protect the security, integrity, or operation of the Service
- To comply with legal requirements or court orders
- Any conduct that we determine, in our sole discretion, is harmful to the Service or other users
Termination by Us (Without Cause): We reserve the right to terminate your account or access to the Service at any time, for any reason or no reason, with or without notice, at our sole discretion. In such cases, we will provide at least 30 days' advance notice where reasonably possible, except in cases of suspected abuse, fraud, or legal requirements.
Termination by You: You may terminate your account at any time by canceling your subscription as described in Section 5.
Effect of Termination: Upon termination by either party, your right to use the Service ceases immediately. No refunds or credits will be provided for any reason, including termination by us. Data retention and deletion will proceed as described in Section 17.
19. Service Discontinuation
Right to Discontinue: We reserve the right to discontinue, suspend, or modify the Service, in whole or in part, temporarily or permanently, at any time and for any reason, including but not limited to business, technical, or legal reasons, at our sole discretion.
Notice of Discontinuation: If we decide to permanently discontinue the Service, we will provide at least 30 days' advance notice via email to active subscribers. For temporary suspensions or modifications, we will provide notice when reasonably possible.
No Refunds Upon Discontinuation: In the event of Service discontinuation, no refunds, credits, or compensation will be provided for any unused subscription time, features, or services. Your sole remedy is to cancel your subscription and export your data before the discontinuation date.
Data Export: Upon notice of discontinuation, you will have the opportunity to export your data before the Service is shut down. We are not responsible for any data loss if you fail to export your data within the notice period.
20. Export Control and Sanctions Compliance
The Service may be subject to export control laws and regulations, including those of India, the United States, and the European Union. You agree not to use the Service in any country or jurisdiction, or for any purpose, prohibited by applicable export control laws. You represent that you are not: (a) located in, or a resident or national of, any country subject to comprehensive sanctions; (b) listed on any government restricted party list; or (c) otherwise prohibited from using the Service under applicable laws.
21. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government actions, internet or telecommunications failures, third-party service outages, cyberattacks, or other force majeure events. During such events, our obligations will be suspended for the duration of the event.
22. Changes to the Service or Terms
We may modify the Service, features, or these Terms from time to time. For material changes to these Terms, we will provide at least 30 days' advance notice via email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription before the changes take effect.
23. Compliance with Indian Laws
The Service is operated in compliance with the laws of India, including but not limited to: the Information Technology Act, 2000; the Digital Personal Data Protection Act, 2023 (DPDP Act); the Indian Contract Act, 1872; and applicable GST regulations. You agree to comply with all applicable Indian laws in your use of the Service.
24. Dispute Resolution and Arbitration
Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at support@pgpulse.io to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.
Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted by a single arbitrator in Hyderabad, Telangana, India. The language of arbitration shall be English. The arbitrator's decision shall be final and binding.
Exceptions: Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized use of the Service.
25. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.
26. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Telos Technologies LLP regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral. No verbal promises, representations, or agreements shall be binding unless incorporated into these Terms in writing.
27. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.
28. Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Telos Technologies LLP.
29. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration provisions in Section 24, the courts at Hyderabad, Telangana, India, shall have exclusive jurisdiction over any disputes.
